1. Introduction. Jhana Education provides a service to make learning more accessible and help people quickly and easily develop the core business and management skills they need to be successful at work.

Jhana Education (“we,” “us,” “our,” or “Jhana”), operates the website located at www.jhanaeducation.com (the “Website”). By using the Website, or our applications, tools and any other related services offered by us (collectively with the Website, the “Services”) you acknowledge that you have read, understood, accept and agree to be bound by the most recent version of our Terms of Use. Those who utilize the Services are hereinafter referred to as “Users.” The following terms and conditions, including any future modifications to this Terms of Use, and all guidelines are collectively referred to herein as the “Terms of Use.”

We reserve the right to change the provisions of the Terms of Use at any time. We will alert you that changes have been made by indicating on the Terms of Use the date it was last updated. We encourage you to review the Terms of Use from time to time to make sure that you understand the terms and conditions that govern your use of the Website.

By using this Website, you accept these Terms of Use in full.  If you disagree with these Terms of Use, you must not use any part of the Services. Use of the Services is also governed by our Privacy Policy, available at www.jhana.com/privacy/, which is incorporated herein by reference.

2. Eligibility.You must be 18 years of age or older to visit, register, or use in any manner the Services. By visiting or using the Website, you represent and warrant to Jhana that you are 18 years of age or older, and that you have the right, authority, and capacity to enter into this Terms of Use and to abide by all terms and conditions of this Terms of Use. You also represent and warrant to Jhana that you will use the Services in a manner consistent with any and all applicable laws and regulations.

3. License to use Website.Unless otherwise stated, Jhana and/or its licensors own the intellectual property rights in the Website and material on the Website.  Subject to the license below, all these intellectual property rights are reserved.  During the term of your paid or trial subscription to use the Services, you may view, download for caching purposes only, and print pages or other content from the Website for your own personal use, subject to the restrictions set out below and elsewhere in these Terms of Use.  You must not, at any time: republish material from the Website (including republication on another website); sell, rent or sub-license material from the Website; show any material from the Website in public; reproduce, duplicate, copy or otherwise exploit material on the Website for a commercial purpose; edit or otherwise modify any material on the Website; or redistribute material from the Website except for content specifically and expressly made available for redistribution. Upon expiration or termination of your paid or trial subscription to use the Services, (1) the rights and licenses granted to you herein shall immediately terminate, (2) you must cease all use of the Services, including without limitation any content on the Website, and (3) to the extent that you downloaded, printed or otherwise made copies of any content from the Services during your paid or trial subscription as allowed by these Terms of Use, you agree to immediately delete and destroy any and all such copies.

4. Acceptable use.You must not use the Website in any way that causes, or may cause, damage to the Website or impairment of the availability or accessibility of the Website; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.  You must not use the Website to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.  You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to the Website without Jhana’s express written consent.  You must not use the Website to transmit or send unsolicited commercial communications.  You must not use the Website for any purposes related to marketing without Jhana’s express written consent.

5. Access and Payment.Access to certain areas of the Website is restricted and requires payment. Jhana reserves the right to restrict access to certain areas of the Website, or the entire Website, at Jhana’s discretion.

Jhana strives to provide access to the Services on a continuous basis.  However, from time to time, Users may be unable to access the Services due to site upgrades, software issues, hosting company issues, acts of computer hackers, power outages, force majeure, and acts of God.  In response to any unavailability, Jhana will take all commercially reasonable steps to ensure access to the Services is restored within a reasonable period of time, but Jhana is not responsible for acts or causes beyond its control.

Jhana reserves the right, in its sole discretion, to change, modify, or discontinue any aspect or feature of the Services in whole or in part, including, without limitation, the content, availability, access and/or the Terms of Use.  Such changes, modifications, additions or deletions will be effective immediately upon notice thereof, which notice may be made by posting such changes on the Website.

If Jhana provides you with a user ID and password to enable you to access restricted areas of the Website or other content or services, you must ensure that the user ID and password are kept confidential.  Jhana may disable your user ID and password in Jhana’s sole discretion without notice or explanation. If you believe that your username and password have been breached, or that your account has been used without your authorization, you agree to immediately notify Jhana. Jhana is not liable for any damages relating to a User’s noncompliance.

6. User content.  We may, in our sole discretion, permit Users to post, upload, publish, submit or transmit information, content, data, text, and other materials (collectively, the User Content”) as necessary to provide the Services. By making available any User Content through the Website or Services, you hereby grant to Jhana a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such User Content on, through or by means of the Website, the Services or any other third party websites, social networks, services or other forms of media. Jhana does not claim any ownership rights in any such User Content and nothing in these Terms of Use will be deemed to restrict any rights that you may have to use and exploit any such User Content.

You acknowledge and agree that you are solely responsible for all User Content that you make available through the Website and Service. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all User Content that you make available through the Website and Services or you have all rights, licenses, consents and releases that are necessary to grant to Jhana the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission or transmittal of the User Content or Jhana’s use of the User Content (or any portion thereof) on, through or by means of the Website, the Services or elsewhere will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.  You must not submit any user content to the Website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.  Jhana reserves the right, but does not have an obligation, to edit or remove any material submitted to the Website, or stored on Jhana’s servers, or hosted or published upon the Website, that Jhana determines in its sole discretion to be unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise objectionable, or which violates the Terms of Use.  Jhana also has the right, but not the obligation, to limit or revoke the use privileges of anyone who posts such content or engages in unacceptable behavior on or through the Services. Jhana does not undertake to monitor the submission of such content to, or the publication of such content on, the Website.

We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Website and Services (“Feedback”). You may submit Feedback by emailing us at contact@jhanaeducation.com or through the “Contact Us” section of the Website. You acknowledge and agree that all Feedback will be the sole and exclusive property of Jhana and you hereby irrevocably assign to Jhana and agree to irrevocably assign to Jhana all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent, copyright, trade secret, trademark, moral rights and other proprietary or intellectual property rights therein. At Jhana’s request and expense, you will execute documents and take such further acts as Jhana may reasonably request to assist Jhana to acquire, perfect, and maintain its intellectual property rights and other legal protections for the Feedback.

7. DMCA Compliance.You agree not to post, publish, display, reproduce, or transmit in absolutely any manner any copyrighted content, copyrighted material, trademarks, intellectual property, or other proprietary information without first having obtained prior consent of the owner of the rights to such proprietary information. If you believe that someone or some entity has copied or posted your work or proprietary information on Jhana, or in association with Jhana and its Services, in an unauthorized manner that constitutes infringement of copyright, please give our Copyright Agent the following information:

  1. A physical or electronic signature of the individual or entity who owns the copyright;
  2. A description of and url link to the copyrighted work that you believe has been infringed upon;
  3. Your postal mailing address;
  4. Your telephone number;
  5. Your e-mail address;
  6. A written statement by you that you believe, in good faith, that the usage of the work is not authorized or consented upon by the rightful copyright owner; and
  7. A written statement made by you, under penalty of perjury, that the information in your copyright claim is completely accurate and that you are in fact the rightful copyright owner, or that you have authorized consent to act on the copyright owner’s behalf.

8. No warranties.The Services are provided “as is” without any representations or warranties, express or implied. Jhana makes no representations or warranties in relation to these Services or the information and materials provided on the Website. Without prejudice to the generality of the foregoing paragraph, Jhana does not warrant that: the Services will be constantly available, or available at all; or the information on the Services is complete, true, accurate or non-misleading.  Nothing on the Services constitutes, or is meant to constitute, legal, accounting, medical or other professional advice of any kind.

Limitations of liability.  Use of Jhana’s Services is at your own risk. Jhana will not be liable for any damages whatsoever arising out of or in connection with the use or performance of the Services, or otherwise in connection with, the Website, including, but not limited, to the following:

  • damages for any direct loss;
  • damages for any indirect, special or consequential loss; or
  • damages for any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data.

This disclaimer of liability applies to all causes of action, whether in contract, tort (including negligence) or otherwise, and regardless of whether any remedy fails of its essential purpose. These limitations of liability apply even if Jhana has been expressly advised of the potential loss.

10. Reasonableness.By using the Services, you agree that the exclusions and limitations of liability set out in the Terms of Use are reasonable.  If you do not think they are reasonable, you must not use the Services.

11. Indemnity.You hereby indemnify and hold harmless Jhana and its officers, directors, employees and agents, against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by Jhana to a third party in settlement of a claim or dispute on the advice of Jhana’s legal advisers) incurred or suffered by Jhana arising out of any breach by you of any provision of the Terms of Use, or arising out of any claim that you have breached any provision of the Terms of Use.

12. Breaches of these Terms of Use.Without prejudice to Jhana’s other rights under these Terms of Use, if you breach these Terms of Use in any way, Jhana may take such action as Jhana deems appropriate to deal with the breach, including suspending your access to the Services, prohibiting you from accessing the Services, blocking computers using your IP address from accessing the Website, contacting your internet service provider to request that they block your access to the Website and/or bringing court proceedings against you.

13. Assignment.  Jhana may transfer, sub-contract or otherwise deal with Jhana’s rights and/or obligations under these Terms of Use without notifying you or obtaining your consent.  You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these Terms of Use. No agency, partnership, joint venture, or employment is created as a result of this Terms of Use.

14. Severability.If any provision of these Terms of Use is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.  If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

15. Entire agreement.  These Terms of Use constitute the entire agreement between you and Jhana in relation to your use of the Services, and supersede all previous agreements in respect of your use of the Services.

16. Law and jurisdiction.These Terms of Use and any claim or action related to or arising from these Terms of Use or content on the Website shall be governed by California law, without regard to any provision that would make the laws of another jurisdiction applicable.

17. Notices.  Any notices or other communications permitted to required hereunder, including those regarding modifications to the Terms of Use, will be in writing and given by posting to our website. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

18. Headings for Convenience Only. Headings are for convenience only and have no legal or contractual effect.
